The Client:

Our Client is a private sizeable industrial group, with HQ in Italy and business in Italy and abroad. They are a global player, a leader in their business, in a market with strong growth potential; they are on a size of 1.5Bn+, are organized by BU and operate in more than 20 countries, with over 5000 FTE. Their industrial footprint is international, across Europe, Asia, and Americas.

They are a portfolio company of two major PE Funds, and they are facing a growth and transformational phase in parallel, both with strong commitment. They have grown significantly in the latest years with strong contribution from international M&A activity.

In this context, the Corporate Development function is a leading actor, and is positioned to be the key Business Partner to help the Executive team achieving the Group targets; an M&A Manager (MM) is now needed onboard.

Position – The role:

The MM will join the Corporate Development function, which has been set up to provide guidance and insights for an international Group that keeps growing at amazing rates both inorganically and organically.

The mission is to support the organization evolution further, with targeted actions to extract major business and financial synergies.

The MM will report in solid line to the Corporate Development Director (Executive Committee Member) and will enable the next ambitions that aim at supporting further corporate growth through international acquisitions and transformation projects.

The MM will join to manage all activities related to the execution of transactions in alignment with the company’s strategy, vision and ambitious growth trajectory.

Position – Specific responsibilities:

  • Manage all group M&A activities that will have a predominant international focus; develop and execute M&A strategies aligned with business objectives and growth targets. This will include: 1) Identify and evaluate potential M&A opportunities, 2) Research relevant industry conditions and developments, exploring core and adjacent markets to scout new opportunities and potential targets on a global basis
  • Conduct comprehensive due diligence processes including the coordination of intermediaries/advisors and external counterparties
  • Analyse and present due diligence findings, discuss investment opportunities and provide business updates
  • Prepare financial models and perform financial analyses and business valuations
  • Active participation to negotiations and structuring of M&A deals, including valuation, deal terms and documentations, as well as post-merger integration plans with relevant counterparties
  • Partner with relevant Business Leaders and stakeholders to successfully execute transactions, playing an active role across all phases of financial analysis, due diligence, negotiation and integration planning
  • Collaborate closely with cross-functional teams, including finance, legal, and operations, to ensure successful execution and integration of M&A transactions

Requirements:

  • Degree/Post-degree education in Management/Business Administration or equivalent
  • About 8-10 years’ experience with a preference for a mix including top leading Accounting/Consulting firm, Private Equity/Venture Capital, Investment Bank or Corporate Development within dynamic organizations
  • Consolidated and mixed execution track gained in leading M&A processes, Strategy, Operational Improvement or due diligence projects in complex, multinational organizations
  • The role requires round maturity both on relational and technical aspects, business acumen and the confidence of managing high strategic projects in a high demanding environments
  • Strong knowledge of Accounting to support valuation and advanced modelling techniques; analytical and numerical skills. Sharp on details
  • Unafraid of complexities, reliable and organized, can meet stringent deadlines.

Languages: fluent in English and Italian; other European languages would be a plus.
